TOS (Terms of Service)
Effective Date: October 29, 20241. Introduction:These Terms and Conditions govern all products and services provided by Minki Graphics (hereinafter referred to as Minki). By engaging in Minki’s services, the client agrees to these Terms and Conditions.2. Service Packages:Minki offers branding and design services across five distinct packages:• Mini
• Standard
• Advanced
• Brand Materials Only
• CustomEach package includes a specific number of revisions and design deliverables. Package details are outlined in the project proposal.3. Project Acceptance:Minki provides the client with an estimate or quotation via the agreed primary mode of communication. Acceptance of this estimate constitutes agreement to Minki’s Terms and Conditions.
The client acknowledges that the terms of service specified by Minki apply to the project, not any terms indicated in a purchase order from the client.4. Design Charges:• Design fees are detailed in the estimate or quotation provided to the client.
• A non-refundable deposit of 50% of the total project fee is required upon the client’s acceptance of the estimate.
• The remaining 50% of the total project fee is due upon project completion, before the final release of materials.5. Payment Terms:• Invoices are issued prior to final project delivery, with payment due immediately upon receipt.
• Any inquiries related to invoices must be submitted within 10 days of the invoice date.
• Late payments are subject to a late fee of $100 after 10 days and 8% interest applied after 11 days from the invoice date.
• Minki reserves the right to delay the release of final work until full payment is received.6. Ownership & Copyright:• Minki retains the copyright on all design work (including words, pictures, visuals, and illustrations) unless expressly released in writing and after all costs have been paid in full.
• Upon full payment, the client is granted ownership of the final deliverables, with Minki retaining the right to display the work in its portfolio and for promotional purposes.
• The client certifies that they hold all necessary copyright or trademark permissions for materials they supply. The client agrees to indemnify and hold Minki harmless from any legal claims arising from copyright infringement.7. Revisions & Changes:• The client is entitled to a set number of revisions based on the selected service package. Any additional revisions beyond the agreed scope will be charged separately.
• Minki is not responsible for any alterations made by a third party after the design has been delivered.8. Licensing:• Any design, copywriting, illustration, or code produced by Minki is licensed for one-time use only. Re-use or modification without written consent from Minki is prohibited.
• The client is responsible for registering any design, trademark, or intellectual property rights before publication. Minki will not be held liable for any third-party claims on unregistered work.9. Project Timeline:• Project deadlines are established based on the selected package. While Minki strives to meet all deadlines, the indicated project duration is an estimate and not a guarantee. Rush orders are available at an additional charge.10. Cancellation & Termination:• Orders can be canceled through the agreed primary mode of communication. Minki will invoice the client for any work completed up to the point of cancellation.
• The initial deposit is non-refundable, and the remaining balance must be paid within 10 days of the cancellation notice.11. Warranties & Liability:• Minki does not guarantee specific outcomes or results from its design services.
• Minki is not liable for any indirect, consequential, or incidental damages, including but not limited to loss of revenue or data.
• In the event of any claim, Minki’s liability is limited to the amount paid by the client for the applicable service.12. Confidentiality:• Any confidential information provided by the client will be kept confidential and will not be disclosed to any third parties, except as required for the project or by law.13. Publication & Portfolio Usage:• Unless otherwise agreed in writing, Minki retains the right to use the final design in promotional materials, portfolios, and design showcases.14. Dispute Resolution:• In the event of a dispute, the client agrees to resolve the issue through good faith discussions. If no resolution is reached, disputes are governed by the laws of Bahrain.15. Modifications to the Terms of Service:• Minki reserves the right to update these Terms and Conditions at any time. Clients will be notified of any significant changes. Continued use of Minki’s services after such changes constitutes acceptance of the new terms.16. General:• These Terms and Conditions supersede any previous agreements, verbal or written, between Minki and the client.
• Acceptance of the estimate and payment of the initial deposit constitutes acceptance of these Terms and Conditions, forming a binding agreement between Minki and the client.
